InWith AI Terms of Service

1. Acceptance of Terms

By creating an account, submitting any content, or otherwise using the Service, you represent that you are at least 18 years old (or the age of majority in your jurisdiction) and you agree to these Terms on behalf of yourself and any entity you represent.

2. User Content and Ownership Rights

When you submit, post, upload, transmit, or otherwise make available any content through the Service—including but not limited to advertisements, text, descriptions, images, photographs, videos, audio recordings, links, metadata, prompts, queries, feedback, or any other materials ("User Content")—you grant InWith the following irrevocable, perpetual, worldwide, sublicensable, transferable, royalty-free license:

• To use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, publicly display, and otherwise exploit your User Content (in whole or in part) in any form, media, or technology now known or later developed;
• To exercise full ownership rights, title, and interest in and to such User Content;
• To sell, license, sublicense, distribute, syndicate, incorporate into databases or indexes (including retrieval-augmented generation (RAG) systems), share with third parties, or otherwise monetize your User Content in any manner InWith chooses, including (without limitation) by making it available to other platforms, AI models, search engines, advertising networks, partners, agents, developers, or any commercial or non-commercial products or services.

You represent and warrant that you own or have all necessary rights to grant the above license and that your User Content does not infringe any third-party rights. You expressly acknowledge and agree that InWith may exercise all of the above rights without any further notice, permission, payment, attribution, or accounting to you.

3. Advertisements – No Guarantees & Responsibility for Fulfillment

InWith may distribute your advertisement content (which constitutes User Content) across all of its endpoints, interfaces, indexes, APIs, partner integrations, and distribution channels. However, InWith makes no guarantees, representations, or warranties whatsoever regarding the results, performance, visibility, reach, impressions, clicks, responses, leads, inquiries, sales, or any other outcome from your advertisement.

All fulfillment of transactions, communications with potential buyers or responders, delivery of goods or services, payment processing, refunds, disputes, chargebacks, and any monetary or non-monetary obligations arising from advertisements are solely the responsibility of the advertiser (you). InWith is not a party to any transaction between you and any third party and assumes no liability for any such interactions, agreements, or outcomes.

All sales and payments are final. InWith does not offer refunds, credits, or reversals for advertisement fees or any related charges once payment is processed, regardless of the performance or outcome of the advertisement.

4. Personal Information – Anonymization & Non-Disclosure

Notwithstanding the broad rights granted above with respect to User Content, InWith agrees that it will not share the following personal information you provide during account registration or use of the Service with any third party (except as required by law, to trusted service providers bound by confidentiality obligations, or as expressly permitted below):

• Your full name
• Your email address
• Your physical address
• Your zip code
• Any other direct personal identifiers you submit

All personal information associated with your account will be anonymized (stripped of direct identifiers) before being used, aggregated, sold, licensed, distributed, or otherwise monetized in connection with User Content or for any other purpose. InWith will not attempt to re-identify anonymized data. InWith may use anonymized or aggregated data derived from your account activity (e.g., usage patterns, query trends, location-based trends without linking to your specific identity) for internal analytics, product improvement, research, or commercial purposes.

5. No Expectation of Privacy in User Content

You understand and agree that the Service is designed to allow you to publish advertisements and other content that may be discovered, retrieved, summarized, cited, embedded, or otherwise used by other users, third-party AI systems, search engines, agents, partners, or developers. There is no expectation of privacy with respect to User Content once submitted.

6. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and/or sending notice to the email associated with your account. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

7. Termination

We may suspend or terminate your account or access to the Service at any time, for any reason or no reason, without notice.

8. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

9. Entire Agreement

These Terms constitute the entire agreement between you and InWith regarding the Service and supersede all prior agreements. By using the Service, you acknowledge that you have read, understood, and agree to these Terms, including the broad license, ownership rights, and monetization rights granted to InWith with respect to your User Content, the no-guarantees policy regarding advertisement results, the finality of all sales, and the anonymization and non-disclosure protections for your personal information.
